Seller Policy & Agreement
Last Updated: September 2026
1. Introduction
This Seller Policy & Agreement ("Seller Policy") forms a binding contract between you ("Seller", "you") and Oh Got It! ("Platform", "we", "us"). By applying for a seller account, opening a store, or listing a Digital Good on the Platform, you agree to be bound by this policy in addition to our general Terms of Service.
2. Nature of the Relationship and Taxes
The Platform acts as an intermediary venue allowing you to offer your Digital Goods directly to Buyers. We do not act as the Merchant of Record for your sales.
- Tax Liability: You are strictly and solely responsible for determining, collecting, reporting, and remitting any and all applicable sales tax, VAT, GST, or other indirect taxes associated with the sale of your Digital Goods in any jurisdiction. We will not collect or remit taxes on your behalf.
- Independent Contractor: You act as an independent contractor. Nothing in this agreement creates a partnership, joint venture, agency, or employment relationship between you and the Platform.
3. Prohibited Items and Content
You are strictly prohibited from listing, selling, or distributing any of the following items on the Platform:
- Stolen or Infringing IP: Digital Goods that infringe on the copyrights, trademarks, patents, or trade secrets of third parties (e.g., unauthorized 3D models of branded characters, ripped game assets, plagiarized code).
- Malicious Content: Software containing viruses, malware, trojans, spyware, or mechanisms designed to unlawfully access user data.
- Physical Goods: This platform is strictly for the sale of Digital Goods.
- Illegal or Harmful Material: Content that promotes violence, hate speech, illegal activities, or explicit/obscene material in violation of applicable laws.
- Unauthorized Resales: Selling Digital Goods that you purchased elsewhere unless you hold a commercial resale license explicitly granting you the right to do so.
Violation of the Prohibited Items policy will result in immediate account termination, forfeiture of pending payouts, and potential legal action.
4. Financial Liability, Chargebacks, and Disputes
As the seller of the Digital Good, you bear the ultimate financial risk for your transactions.
A. Chargebacks
If a Buyer initiates a chargeback or payment dispute with their bank or credit card issuer, you are financially responsible for the full amount of the chargeback, plus any associated penalty fees levied by the payment processor (e.g., Stripe). We reserve the right to automatically debit these amounts from your current account balance or future payouts.
B. Refunds
You are responsible for setting and clearly displaying your own refund policy on your Store or Product pages. You must honor your stated policies.
Marketplace refunds are issued only by the Platform. Do not refund Oh Got It! sales from the Stripe Dashboard or Express account. Buyers must request refunds through platform support. If we issue a refund, your seller share and related balances are adjusted automatically. Unauthorized Dashboard refunds may result in payout holds, listing removal, or account suspension.
If a Buyer proves that a Digital Good is defective, not as described, or missing entirely, the Platform reserves the unilateral right to force a refund on behalf of the Buyer, debiting your account accordingly.
C. High Dispute Rates
If your account exhibits an unusually high rate of chargebacks, disputes, or refund requests, we may take protective actions, including but not limited to:
- Imposing a rolling reserve on your payouts.
- Delaying your payout schedule.
- Suspending your ability to list new products.
- Permanently terminating your seller account.
5. Payouts and Fees
Platform Fees: The Platform charges a percentage-based fee on every successful transaction. This fee will be clearly communicated to you during the onboarding process and will be automatically deducted from the transaction before funds are routed to your connected Stripe account.
Payout Schedule: Payouts are handled via Stripe Connect. Depending on your region and account age, payouts may be subject to standard clearing periods (e.g., 2-7 rolling days). We reserve the right to delay payouts if we suspect fraudulent activity on your account.
6. Seller Representations and Warranties
By listing a Digital Good, you represent and warrant that:
- You are the sole and exclusive owner of the Digital Good, or you have secured all necessary licenses and rights to sell it globally.
- Your Digital Good is safe, functions as described, and does not contain malicious code.
- The sale and use of your Digital Good does not violate any laws, regulations, or third-party rights.
- Your AI disclosure for each listing is accurate and complete, as described in Section 7.
7. AI-Generated Content Disclosure
You may use AI tools to help create your Digital Goods, but you must tell Buyers when you do.
- Disclosure required: If any part of a Digital Good (including its files, text, images, code, or listing content) was generated in whole or in substantial part by AI, you must mark the listing as containing AI-generated content and describe which parts were AI-generated.
- Shown to Buyers: Your disclosure is displayed publicly on the product page and is reviewed by our moderation team before a listing is approved.
- Keep it current: If you update a Digital Good with new AI-generated material, you must update your disclosure at the same time.
- Your responsibility still applies: Using AI does not change your obligations under this Seller Policy. You remain responsible for ensuring AI-assisted work is original or properly licensed, functions as described, and does not infringe third-party rights.
A missing, incomplete, or false AI disclosure may result in the listing being returned for changes or removed, refunds to affected Buyers, and, for repeated or deliberate violations, suspension of your seller account.
8. Setup Help and Marketplace Leads
You may offer optional setup or integration help on a listing. Shoppers can see that help is available before purchase; only Buyers who purchased that Digital Good through the Platform may send you a setup inquiry.
- Product sales stay on the Platform: Do not use setup inquiries, buyer contact details, or other leads obtained through the Platform to sell the listed Digital Good (or a substitute for it) off-platform in order to avoid Platform fees.
- Setup fees may be off-platform: Scope, scheduling, and payment for setup or custom services may be arranged directly with the Buyer. Those service fees are separate from the Digital Good sale on the Platform.
- Enforcement: Circumventing Platform fees on listed Digital Goods may result in listing removal, account suspension, or termination.
9. Indemnification
You agree to fully indemnify, defend, and hold harmless the Platform, its affiliates, and its officers against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Digital Goods, (b) your breach of this Seller Policy, (c) your failure to remit applicable taxes, or (d) any chargebacks or fraud associated with your transactions.
